ACCEPTANCE OF TERMS
The services that Contact Administrator provides are subject to the following
Terms of Use. Access 2 Vendors, which is the owner of Contact Administrator
website and Contact Administrator system, reserves the right to update the
Terms of Use at any time without notice. The most current version of the Terms
of Use can be reviewed by clicking on the "Terms of Use" hypertext
link located at the bottom of our Website Home Page, at
www.contactadministrator.com.
DESCRIPTION OF SERVICES
ACCESS 2 VENDORS, LLC, via its product Contact Administrator, provides you with access to a variety of resources, including Websites, WebPages, on-line services, information, software codes, software, Contact Administrator (an information delivery and tracking system) and service and product information (collectively "Services"). The Services, including any updates, enhancements, new features, and/or the addition of any new Web or other properties, are subject to the Terms of Use.
PERSONAL AND NON-COMMERCIAL USE LIMITATION
Unless otherwise specified with written approval from ACCESS 2 VENDORS, LLC, the Services are for your use and other approved users only. You may not modify or copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products or services obtained from the Services without the express written approval of ACCESS 2 VENDORS, LLC.
NOTICE SPECIFIC TO SOFTWARE, SOFTWARE CODE and/or INFORMATION and/or CAPABILITY AVAILABLE ON THIS WEB SITE and/or CONTACT ADMINISTRATOR
Any software code, software and/or information and/or capability that is made available to distribute or collect information or view or download from the Services is the copyrighted and/or patent pending work of ACCESS 2 VENDORS, LLC. Use of the Services, website, information or software and software code is governed by the terms agreement of these Terms of Use between ACCESS 2 VENDORS, LLC and the end-user only.
The Services, Website, System, their contents, software code and/or software is made available for to be viewed, used, or accessed solely for use by end users according to these Terms of Use or other written approval. Any reproduction or redistribution of the Services, website, system, their contents, software code and/or software not in accordance with a License Agreement or other written approval is expressly prohibited by law, and may result in severe civil and criminal penalties. Violators will be prosecuted to the maximum extent possible.
WITHOUT LIMITING THE FOREGOING, COPYING OR
REPRODUCTION OF THE WESBSITE, ITS CONTENTS OR SOFTWARE CODE OR SOFTWARE TO ANY
OTHER SERVER OR LOCATION FOR FURTHER REPRODUCTION OR REDISTRIBUTION IS

PERMITTED BY ACCESS 2 VENDORS, LLC BY A LICENSE AGREEMENT OR OTHER WRITTEN
PERMISSION.

THE SERVICES ARE PROVIDED TO YOU "AS-IS" AND
ACCESS 2 VENDORS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS,
EXPRESS, IMPLIED OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE,
INFORMATIONAL CONTENT AND ACCURACY, NON-INTERFERENCE AND NON-INFRINGEMENT.
THERE IS NO WARRANTY THAT THIS SOFTWARE, OUR EFFORTS, OR THE SYSTEM WILL
FULFILL ANY OF YOUR PARTICULAR PURPOSES OR NEEEDS. NO ORAL OR WRITTEN
INFORMATION OR ADVICE GIVEN BY ACCESS 2 VENORS LLC, ITS EMPLOYEES, DEALERS OR
AGENTS SHALL CREATE A WARRANTY. THERE
IS NO WARRANTY THAT THE CONTACT ADMINISTRATOR SYSTEM AND/OR SERVICES WILL BE
ERROR FREE, WILL FUNCTION WITHOUT INTERRUPTION, THAT DEFECTS WILL BE CORRECTED,
OR THAT THE SOFTWARE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. FURTHERMORE, ALTHOUGH ACCESS 2 VENDORS HAS
MADE AND WILL MAKE ATTEMPTS TO PROVIDE NETWORK AND DATA SECURITY A PRIORITY, NO
GURANTEE OR WARRANTY IS PROVIDED TO ANY USER AT ANY TIME THAT THE INFORMATION
INPUT INTO THE SYSTEM BY ANY USER IS PROTECTED IN THE CASE OF A DISASTEROUS
LOSS OF INFORMATION. FOR THIS REASON,
ALTHOUGH ACCESS 2 VENDORS HAS AND WILL ENDEAVOR TO PROVIDE PHYSICAL AND
OPERATIONAL SECURITY, NETWORK RELIABILITY, SOFTWARE SECURITY ADVISORIES,
INTERNAL NETWORK SECURITY, DATA BACKUP, AND A SUPPLIER 99.9% UPTIME GUARANTEE,
AS INDICATED ON THE CONTACT ADMINISTRATOR NETWORK AND DATA SECURITY OVERVIEW
THAT IS ACCESSABLE ON OUR CONTACT ADMINISTRATOR WEBSITE, UNDER THE HEADING “PROTECTING
YOUR DATA”, THE ULTIMATE RESPONSIBILITY OF PROTECTING AND BACKING UP YOUR
INPUTTED DATA IS THAT OF THE USER AND NOT THE RESPONSIBILITY OF ACCESS 2
VENDORS, LLC.
FOR YOUR CONVENIENCE, ACCESS 2 VENDORS, LLC
MAY MAKE AVAILABLE AS PART OF THE SERVICES OR IN ITS WEBSITE, INFORMATION,
SOFTWARE CODE AND/OR SOFTWARE PRODUCTS, TOOLS AND UTILITIES FOR VIEWING USE
AND/OR DOWNLOAD, REPORTING, PREDICTING OUTCOMES, AND/OR OTHER FUNCTIONALITY.
ACCESS 2 VENDORS LLC DOES NOT MAKE ANY ASSURANCES WITH REGARD TO THE ACCURACY
OF THE RESULTS OR OUTPUT THAT DERIVES FROM SUCH USE OF ANY SUCH TOOLS AND
UTILITIES.
NOTICES REGARDING WEBSITE, SOFTWARE CODE,
SOFTWARE, DOCUMENTS AND SERVICES AVAILABLE ON THIS WEB SITE AND OTHER SERVICES
IN NO EVENT SHALL ACCESS 2 VENDORS, LLC AND/OR ITS RESPECTIVE SUPPLIERS BE LIABLE FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF ACCESS 2 VENDORS LLC SERVICES, WEBSITE, OR OTHER SERVICES, SOFTWARE, DOCUMENTS, PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR INFORMATION AVAILABLE FROM THE SERVICES.
MEMBER ACCOUNT, PASSWORD, AND SECURITY
If any of the Services requires you to sign in with a user name and password and CA #, you are entirely responsible for maintaining the confidentiality of your user name and password and account and CA#. Furthermore, you are entirely responsible for any and all activities that occur under your account. You agree to notify ACCESS 2 VENDORS, LLC immediately of any unauthorized use of your account or any other breach of security. ACCESS 2 VENDORS, LLC will not be liable for any loss that you or any authorized users may incur as a result of someone else using your password or the password of any other authorized user account, either with or without your knowledge. However, you could be held liable for losses incurred by ACCESS 2 VENDORS, LLC or another party due to someone else using your account or password. You may not use anyone else's account at any time, without the written permission of ACCESS 2 VENDORS, LLC and the account holder.
NO UNLAWFUL OR PROHIBITED USE
As a condition of your use of the Services, you will not use the Services for any purpose that is unlawful or prohibited by these terms, conditions, and notices. You may not use the Services in any manner that could damage, disable, overburden, or impair any ACCESS 2 VENDORS, LLC server, or the network(s) connected to any ACCESS 2 VENDORS, LLC server, or interfere with any other party's use and enjoyment of any Services. You may not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks connected to any ACCESS 2 VENDORS, LLC server or to any of the Services, through hacking, password mining or any other means. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.
USE OF SERVICES
The Services may contain information about ACCESS 2 VENDORS, LLC clients and/or other message or communication facilities designed to enable you to communicate with ACCESS 2 VENDORS, LLC and others (each a "Communication Service" and collectively "Communication Services"). You agree to use the Communication Services only to post, send and receive messages and material that are proper and, when applicable, related to the particular Communication Service. By way of example, and not as a limitation, you agree that when using the Communication Services, you will not:
ACCESS 2 VENDORS LLC has no obligation to monitor the Communication Services. However, ACCESS 2 VENDORS, LLC reserves the right to review materials posted to the Communication Services and to remove any illegal materials in its sole discretion. ACCESS 2 VENDORS LLC reserves the right to terminate your access to any or all of the Communication Services at any time, without notice, to comply with applicable law or for non-payment of fees due to Access 2 Vendors, LLC, for services rendered.
ACCESS 2 VENDORS, LLC reserves the right at all times to disclose any information as ACCESS 2 VENDORS, LLC deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, at ACCESS 2 VENDORS LLC sole discretion.
Materials uploaded to the Communication Services may be subject to posted limitations on usage, reproduction and/or dissemination; you are responsible for adhering to such limitations if you use the materials.
MATERIALS PROVIDED TO ACCESS 2 VENDORS, LLC OR POSTED AT ANY ACCESS 2 VENDORS, LLC WEB SITE, SYSTEM OR SERVICE
ACCESS 2 VENDORS, LLC claims no ownership of the materials you input into the ACCESS 2 VENDORS, LLC system, Contact Administrator. However, ACCESS to VENDORS DOES claim ownership of any and all changes made to the system on your behalf, such as, but not limited to the following; ideas for improving the system, changes to pages or representations made upon pages, changes to page headings or report headings, and/or any and all system features. Therefore, by uploading, inputting, providing or submitting ("Posting") your changes you are granting ACCESS 2 VENDORS, LLC, its affiliated companies and necessary sub licensees permission to use your Submission in connection with the operation of their businesses (including, without limitation, all ACCESS 2 VENDORS, LLC Services), including, without limitation, the license rights to: copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat changes made to the system on your behalf; and the right to sublicense such rights to any supplier of the Services.
No compensation will be paid by ACCESS 2 VENDORS, LLC with respect to the use of changes made to the system on your behalf, as provided herein. ACCESS 2 VENDORS, LLC is under no obligation to post or use any changes or ideas you may provide and ACCESS 2 VENDORS, LLC may remove any changes, ideas, or anything contained in the system at any time in its sole discretion. PLEASE UNDERSTAND THAT ACCESS 2 VENDORS, LLC MAKES NO ASSURANCES THAT YOUR IDEAS AND MATERIALS WILL BE TREATED AS CONFIDENTIAL OR PROPRIETARY.

now or at any time in the future, you stipulate that you agree to be bound by
these TERMS OF USE. If you do not agree
to these TERMS OF USE in their entirety, you are not granted the rights to
enter, access, or use the Services offered by ACCESS 2 VENDORS LLC.
